I don't know of anything that would prevent the company from buying back shares since they have already announced a buyback program. The company also announced that the buyback shares would be retired which would make the O/S less and the dividend more. The difference in payment to shareholders according to the PR could be based on shares retired. That wasn't stated so only a guess.

Deals take time. If it was my Co., I'd want all my shares I could get along the way, wouldn't you?
