So, it appears clear that Jacobs and Paloma:
1. Knew each other well enough in the summer of 2000 to form a company together. They were in business together then.
2. Hatched a plan together to form DEI, transfer certain assets from Desert Winds to DEI, and to then have Desert Winds sell its DEI stock to Paloma in exchange for 500,000 shares of Desert Winds.
3. Then Jacobs formed MicroSpectacular, Desert Winds acquired all the stock of MicroSpectacular, and then changed its name to SunnComm.
Complicated? For sure....
Further down in that same SEC report, it lists Paloma as owning 5.5% and Jacobs as owning 5.74% of the common stock. It also lists Planet 10 Partners as owning 5.08%, and notes that Planet 10 Partners is 40% controlled by Jacobs. Also, 28% of the shares were owned by corporations in Panama.
Confusing? For sure....
