From the Purchase Agreement

As used herein, the term “Block Purchase Price” shall mean the lesser of

(i) the lowest Sale Price of the Common Stock on the Purchase Date or
(ii) the lowest Purchase Price during the previous ten (10) Business Days prior to the date that the valid Block Purchase Notice was received by the Buyer.
