Yep, good question. Im not sure this shell was as corrupt as some others but some info/transparancy would be helpful for the new company.

Preachers Coffee was established in the Philippines a few years ago and has been enjoying tremendous good fortune and growth.

In view of the demand from customers in the USA, the company decided that a prudent move to expand the companies market and exposure was to become publicly listed in the USA.

While not yet enjoying a corporate status that would entitle the company to list with large stock exchanges like Nasdaq etc, there was an avenue advised by our attorney whereby the company could merge with dormant companies that trade OTC.

There are a number of companies advertising on the internet that specialize in assisting companies with reverse mergers and enabling companies to trade OTC.

As a result, the company was able to accomplish a reverse merger with another company that was no longer trading. The old company was not of any relevance to Preachers Coffee as we were advised that it was no longer a going concern.

Preachers Coffee was aware of the company name of "Hee Corporation" and that it was a defunct herbal remedy company.

Preachers Coffee is not aware of any of the former companies activities apart from what was published on the Pink Sheets in the form of Financial reports. Nor has Preachers Coffee had any contact at all in any way with any former officers of the former "Hee Corp."

The company does not consider that what ever activities took place in the past by previous officers of the former Hee Corporation has any bearing on current or future activities of Preachers Coffee.

We hope that whatever transpired before our reverse merger is adequately dealt with by the authorities in charge of those matters.
