Dome Ventures CEO, chairman increase holdings

Two of Dome Ventures Corp.'s directors and senior officers have recently completed transactions for the acquisition of a total of 3,461,538 Series A convertible preferred shares of Dome, representing 66.86 per cent of the issued and outstanding Series A shares. Brian D. Edgar, the president, chief executive officer and a director of Dome, acquired 1,730,770 Series A shares, each of which was convertible into a common share of Dome for no additional consideration. Following the acquisition, Mr. Edgar caused the Series A shares to be converted into 1,730,770 common shares. Together with the 837,140 common shares, or securities convertible or exercisable into common shares that were previously beneficially owned or controlled by Mr. Edgar, Mr. Edgar now holds 2,567,910 common shares or securities convertible or exercisable into common shares representing 20.6 per cent of the common shares outstanding on a fully diluted basis.

William A. Rand, the chairman and a director of Dome, acquired 1,730,768 Series A shares. Together with the Series A shares previously beneficially owned or controlled by Mr. Rand, Mr. Rand now holds 1,923,076 Series A shares or 37 per cent of the Series A shares that were outstanding (prior to the conversion of the 1,730,770 Series A shares owned by Mr. Edgar).
