*** IMPORTANT DD *** I Spoke to Matt Rose about the deal about 30 minutes ago and he mentioned the following:

1. When asked about the shareholder approval, he said he is the only shareholder of Ultimate Sports, so the paperwork is a formality from here as far as he's concerned.
2. How long? 30 days to go through the DD and then 45 days for the SEC approval. "10 weeks".
3. When can they break ground? "the images on Ultimate Sports Website (the renderings - see link below) are accurate to the square foot. The project can start immediately once everything is in place.

4. Funding. The investors want this to go public so that they have an "exit strategy" should anything go awry.
