Apparently it is legal, at least here in pinkie land. I have had 7 of 10 investments do R/S in the past year without notice. It seems we as investors always have to watch the postings on edgar to see which company is going to screw us and when.
As to the vote by shareholders, I guess Berman thinks he has the controlling amount of shares and could out vote us all anyway so why bother? It's just another way to screw us and sell shares before we can. JMHO
