One note:

I don't think share price should be part of the equation since it is entirely dependent on the O/S. Is the same company with 1 million O/S and a $10/share price any different than the company with a 10 million O/S and a $1/share price.

I would argue that there is not, all things being equal. Of course huge O/S #'s are a problem.
