a TAKEOVER! Not a merger!
Wrong again, redskies. Per their own PR, supported by their corporate filings, Loftwerks sold Sulja Ltd the LFWK "public vehicle", the LFWK o/s, via a SPAC they formed for the acquistion. and then changed their name to match the lumberyard in Canada to con the public they were the same company. Loftwerks then went private. It was a going private buy-out (SEC Rule 13e-3). If it was a "take-over" it would have been of Loftwerks, not the NV shell corp that Sulja Ltd acquired via their SPAC to trade Loftwerks old o/s.
