If the articles of incorporation allow the RS then the BOD can still use them. For instance, a shareholder vote is required to increase the AS, RS. At that point the BOD cannot remove them. It has been added to the articles of incorporation. At that point it would have to be removed by shareholder vote. Nothing is canceled unless there was another vote to remove them. Has the company announced another shareholder meeting that did this?

Further, they (shareholders) voted for TWO RS's.

So let's not pretend anything has changed via word of mouth of BOD.
