I guess the SEC has some sort of specific rules, or guide lines for funding on the grey markets? I'm not really sure? All I know is the SEC told the company that until they were listed on the OTC BB, this funding could not take place. Therefor the SB-2 needed to be amended. You could probably call the company and ask them for the specific reasons. The SEC seems to be making it real difficult for the company to do anything.
