Want to say real quick here: I told you guys, If you throw me in jail there will be no news until I get out!! Its been 2 months and nothing except a PR that still has yet to come true.(just like the rest of the PRs this and last YEAR!) I am not surprised!
I wanted to be able to deliver some real DD to the board upon my return so I called and spoke to Aron White the TA for 15 minutes on Friday. The following is a brief overview of our conversation.
Me: Is this Merge done or have they sent you anything?
TA(Aron White): Not as of yet, no. We are still waiting for finalization of this thing.
Me: What does that mean?
TA: It means that they haven't sent us any documents showing that this Merge has fully occured, what the rate of exchange will be or any of that.
Me: Whats your take on that?
TA: I have to assume that the Merge is still planned to go ahead. Beyond that, I don't know if the PRs were pre-mature or what the deal was.
Me: What they said is that now they have to file an S-4, is that something that is mandatory when they Merge?
TA: It would be if the Entity being Merged wants to have free trading shares for their shareholders. If the PLAYSTAR shareholders would want to have free trading shares they would need to have the S-4 in place and that might be part of what is holding it up is that they want to be sure that they have that filing completed before everybody signs off, so that some of the upper level people in Playstar get their free trading shares and with that they should be including the other shareholders of Playstar.
Me: I have seen other companies complete Merges in 2 weeks. How can they get this done in 2 weeks but for some reason this process takes months and months and months, Is there something I am missing here or what???
TA: I got one that has been pending a merger over a year, those things happen. It all depends on what the lawyers are arguing about which line points and whose gonna get what.
Me: I know that supposedly Playstars share structure you are allowed to speak about, is that correct?
TA: Yeah, Yep, Yeah, they sent me authorization to do that at one point.
Me: The last we heard had about Playstar the numbers they have on there are is that it is 100 MILLION Authorized and I think it was somewhere around 80 million were Outstanding. Are all of those shares Outstanding now or do you know b.c. If anyone should know it should be you?
TA: As far as our books are concerned nothing has changed with them they have been in the same boat all along here, they haven't been issuing anything since the merger plans were being announced they haven't been doing anything like that.
(I sensed a bit of hesitation in his voice so I followed up with this next question)
Me: What numbers do you have for them now?
TA: uhhhhhhh ohhhhhh, What do we have? Oh it looks like at one point or another they MAXED out their Authorized!
Me: So then it is 100 million Outstanding?
TA: Yep!
Me: Ok, Yeah, So thats what I assumed and that's probably why its down under a penny now. Does it show you on there when they maxed them out?
TA: I would have to do some research to be honest b.c. that involves other shareholders I don't know that I would be authorized to tell you.
Me: Have you spoken to Armondo Russo?
TA: NO.
Me: What about Mark?
Ta: no again, no body has contacted us recently about anything, last we heard was that they were planning to do this and they sent us notice that they were going to do it but they haven't sent us anything final.
Me: Well, When you did talk to them, whats your impression of them?
TA: I am not even going to get in to that. Thats asking me to put myself in a liable situation.
Me: Ok, alright.
So all you know is that they contacted you and plan to merge.
TA: Yeah
Me: What form do they need to send you before you start issuing NWWV shares to PLYCF shareholders?
TA: Well they need to send us complete copies of the Merger and when it's to be effective in the market place. We then have to notify NASDAQ and all that good stuff and you know, what the terms are....
Me: To issue the shares do you need the S-4?
TA: If they are gonna be free trading we sure would otherwise all the PLYCF holders would have to come out restricted!
Me: So So, If they give you the documents that the Merge is done then you can issue the shares but they will be restricted until the S-4 is approved by NASDAQ?
TA: Right.
Me: Ok...Which is what they said in their PRs that they were going to do ....that they were going to have you issue the shares and then they would be restricted and they would file as S-4 .
TA: Well, Well, They haven't gotten quite that far yet. I don't know if there is a hang up somewhere or what...
Me: Can they file the S-4 before they give you the Merger documents?
TA: Oh sure, It saves them from having to issue all those shares restricted!
Me: So they could be in the process now of filing the S-4 and just waiting to give you the Merge paperwork until the S-4 is done?
TA: Correct!
Me: OK, but you don't know that that is the case?
TA: No, unfortunately I cant verify one way or the other what they are doing.
Well, that was about it. The rest was just me asking the same questions in different ways to try and get a more in depth answer but to no avail. He seems fairly honest to me but was obviously reluctant to tell me that PLYCF had maxed out their AS and now have 100 million OS. He also wouldn't tell me when that took place but my bet is that it happened on the CC DATE! However, that is just a guess. Sure would like to know but regardless when, it did happen. So those saying there was no dilution of PLYCF during the last few months were WRONG!!!
I have this entire conversation on voice recorder so don't even think about saying I made it up! So now someone needs to change the PLYCF IBOX b.c. currently it is misleading to and false AS/OS numbers!!!
Don't bother trying to start any arguments either. I am posting facts for now on unlike some other posters who post all day about conspiracies they believe but can not PROVE!
