I just dont see how 80 billion shares can hit the market.

Look at what happened when the O/S increased by a few hundred million.

Again in my opinion its a precaution that Carmac will get paid. Even if carmac gets .00005 (yes 4 zeros) through another venue, then they still are making 400,000$.

Carmac is taking the bigger risk here, do you really think they are going to lose 3.6 million dollars?
