Here it is... I have not read the filings, so I have no idea what the details are. IMO, increase in A/S and merger filing most likely means a merger is in the works...

When the company was moved from CA to DE, they had to first form a DE corporation and then merge SFTW into it. I do not know this for sure but I have seen this happen in other shells.
