totally agree. usually all that is done in an escrow type of environment. Their was no need to convert.

Sure there was. Look at the balance sheet for March 30th compared to June 30th. Which one do you want? The one with $1.8 million in payables or the one with $0 in payables. Yes, BKMP had to dilute to do that, but the balance sheet is clean. That is advantagious when negotiating deals, whether they are buyouts, partnerships, etc.
