OFFICERS AND DIRECTORS

Paul D. Strickland, Jr. – Chief Executive Officer, Chairman and Director
Mr. Strickland began his career in 1983, as an analyst for a trading partnership where he designed and implemented complex computerized trading systems for traders on the floor of the Chicago Board of Trade and the Chicago Board Options Exchange. During his career, Mr. Strickland has held seats on three major commodity and securities exchanges as a floor trader and was a pioneer in the development of modern index arbitrage techniques during the 1980s.

Mr. Strickland has held trading, managerial and consultant positions with several institutional and proprietary trading firms such as Bear Stearns, G-Bar Partners, First Options Group, LIT McDonald, Petco/Peters, and Transitions Group. Mr. Strickland is generally recognized as a trading, compliance and brokerage operations expert in the commodity futures area, and has over 20 years experience building complex trading models.

Mr. Strickland has been continuously registered with the National Futures Association since 1985 and at various times carried registrations as an Associated Person (“AP”), Commodity Trading Advisor (“CTA”), an exchange member (CBOE) broker/dealer and Registered Investment Advisor with the SEC.

Errol Stone – Executive Vice President, Secretary and Director
Prior to joining Spooz, Mr. Stone was a Vice President of JumpStart Revenue, Inc. with responsibility for operations, administration and professional sales. Mr. Stone has consulted to senior executives of high-tech companies from start-up through exit strategy, regarding organizational development, operations management, strategic planning, funding and compensation.

Mr. Stone was a founder, director and Vice President of Operations and Finance of Equidaq Corporation, the first and only Internet-enabled marketplace for trading equities not listed on public exchanges. Mr. Stone was a senior attorney at the Securities and Exchange Commission; practiced securities, corporate and real estate law; and was a Senior Counsel of Bank of America. He received his undergraduate degree from Tufts University and his Juris Doctorate from Boston University School of Law.

Darryl Dennis – Chief Marketing Officer and Director
Darryl Dennis has over 20 years of successful executive level marketing and business management with five international companies. In 1997, Mr. Dennis’ development of the B2B online market platform, thevirtualmarket.com, received recognition by Microsoft as one of the top three e-commerce sites for 1997. As Vice President of Marketing for publicly traded Centrack International, a B2B heavy equipment portal, the company grew to a $900,000,000 online e-marketplace in less than 18 months, plus achieved the most successful online equipment auction in its industry for 1999.

As VP of Marketing for CommerNet, Mr. Dennis developed the highest revenue generating web portal infrastructures available in the trade publication and trade association markets. Mr. Dennis was also COO/CMO of DeLight Industries for over 10 years and grew the regional consumer products company to international stature with 1600 dealers in seven countries.

Catherine D Rains – Treasurer
Ms. Rains founded Spooz Publishing Group, Inc. with Paul Strickland in 1999. Prior thereto, she was employed in managerial positions with several medium to large sized Austin-based law firms. Prior to the founding of Spooz, Ms. Rains was the Director of Human Resources at Linebarger Heard a 600 employee (250 attorneys) law firm. Reporting to the CFO, Ms. Rains managed the general ledger and a number of joint venture companies, administered all employee benefits including insurance and a 401(k) plan and implemented all employee policies. Ms. Rains successfully established and managed Catie’s Counting, a tax related services business in 1980. Ms. Rains has a comprehensive background in general office and facilities management and accounting, including accounts receivable, accounts payable, general ledger and payroll.

KEY EMPLOYEES

Erik Long, Director of Strategic Technology
Erik Long has been active in the study of evolutionary feedback systems since his university days at UCLA and CSU from 1987-1992. After obtaining a Bachelors in Bio-Anthropology and Economics, Mr. Long went on to study evolution of markets with the accomplished academic and entrepreneur Dr. Gerald Fecht and notable mathematician Dr. Viktor Fontaine. Mr. Long founded Tetrahex in 1996 as a forum to discuss evolution, entropy, and later fractals in financial markets. In the process Tetrahex later formed into a corporation, offering it's services to private industry. In 1998, he studied for his Post Graduate Diploma in Economics at the University of London. Since that time Mr. Long has developed proprietary trading systems for Altea Trading from 2000-2002. He has also consulted in non-linear methodologies for Nexbridge Inc., 2000-2002. Mr. Long is one of the founding members of the System Select Group at Peregrine Financial Group, 2002-2004. Mr. Long became a founding principal of Ceres Capital, LLC in 2004. Erik Long has been published in Futures magazine and Stocks & Commodities magazine. He has been a sponsored member of the New York Academy of Sciences since 1997 and listed in Who's Who in America since 2003.

Jame’ Groves, Director of Financial Engineering
Before joining Spooz, Mr. Groves served as Managing Principal of Relativity Holdings, LLC where he co-authored high-frequency arbitrage models for the OTC FX markets. Among his duties at Relativity were quantitative model research, development, architecture, and validating internal model sets. Prior to his time with Relativity, he worked for Alpha Trading as a quantitative analyst, where he was credited with co-authoring a computerized stock option arbitrage system which monitored 30,000 option prices simultaneously and automatically placed orders in real-time. He also designed proprietary black-box systems for high frequency trading applications to exploit market inefficiencies using multi-population genetic algorithms. For the previous five years, Mr. Groves was a commodities trader with Harbor Island Citrus, Inc.

Peng He, Ph.D., Senior Quantitative Analyst
Prior to joining Spooz, Dr. He was a Senior Quantitative Analyst for G-Bar, LLC and Relativity Holdings, LLC where he designed and coded black-box trading systems, backtesting and optimization models from the ground up. Prior to his experience at G-Bar, Dr. He authored high-frequency arbitrage and basis trading models for the OTC FX markets for Relativity Holdings LLC. He also has provided quantitative support for building the CAX (Chicago Aggregate Exchange) an OTC FX exchange, designing and implementing Fourier Trading System, option pricing, hedging, risk management of nonlinear portfolios, time series data analysis, and exploring volatility arbitrage based on relative implied volatility relationships. Dr. He brings to Spooz eight years of experience in Mathematical and Statistical Modeling, Trading Strategies, Systems Development, Derivative Pricing, Hedging, Risk Management and Stochastic Implied Volatility Theory. Mr. He holds a Ph.D. in Financial Mathematics from University of Illinois.

Scott Ryll, Product Support Manager
Scott Ryll brings nearly a decade and one-half of financial market experience to Spooz. He has held brokerage and trading positions with firms such as Morgan Stanley, FIMAT, and Trader’s Consulting. While Mr. Ryll’s focus has been on soft commodities and energy derivatives, his experience runs across the gamut of asset classes including everything from exchange traded equity options to exotic over-the-counter derivatives. Mr. Ryll’s broad-based industry experience is invaluable in helping to drive the usability and performance aspects of the SpoozToolz platform. Before joining Spooz, he was engaged in proprietary trading and risk management consulting projects. Scott holds a degree in Economics from Hampden-Sydney College in Virginia.

BOARD OF ADVISORS

The Spooz Advisors were individually selected for their expertise in certain business disciplines. Each member of the Board of Advisors is active in the pursuit of Spooz’s goals and objectives and participates on one or more committees.

Donna Genett, PhD., Chairperson
Ms. Genett is President of GenCorp Consulting and has over 16 years of experience working with organizations to enhance performance, productivity and profitability. She is an author, international speaker, and organization development psychologist. She specializes in start-ups, mergers and acquisitions and organizational structuring. Her senior executive experience adds breadth and depth to her consulting services.

John Katovich, Esq.
Mr. Katovich is a practicing attorney specializing in management and business development in the securities and futures industries. He has extensive experience in trading, clearance and settlement, business administration, human resources, finance, funding, licensing, IP and general legal matters. Mr. Katovich currently serves as regulatory counsel for companies and exchanges developing new and unique trading products. He served as General Counsel for the Pacific Stock Exchange for 12 years and General Counsel for OptiMark Trading Systems, Inc., where he played a key role in the development of patented, computer-based methods for improving liquidity and efficiency in auction markets.

Stan Bryl
Mr. Bryl began his well diversified technical career in 1985 at Bell Laboratories as a project manager and lead engineer. Since 1991, he has held key technical positions in the institutional banking/trading industry. In 2001, Mr. Bryl joined a $3 billion hedge fund, eventually becoming the Director of Systems development, and was responsible for overall management of software architecture, in-house development, database services, prime broker information flow, and back-office reporting. Most recently, Mr. Bryl provides overall business leadership, project management experience, and trading system expertise to a new $3 billion multi-strategy hedge fund where he gets to wear many hats, including working with senior management on overall technology assessment and independent IT budget review, as well as functioning as a business analyst for front and back office automation. Mr. Bryl received a B.S Comp. E from University of Illinois, Urbana, a M.S.E.E from Purdue University, Lafayette, as well as an MBA, with Distinction, from DePaul University, Chicago.

Boris Zinchenko, Ph.D.
Dr. Zinchenko is Chief Technology Officer of Tetrahex, Inc. He obtained his Masters in Physics from the Physics Department of the Moscow State University and earned a Ph.D. from the Russian Academy of Sciences in astrophysical and geophysical applications of turbulent fluid dynamics. His programming expertise and background in theoretical physics have been instrumental in developing Tetrahex’s premier product, Fractal Finance CUBED. Dr. Zinchenko’s studies emphasized random magnetic field generation, stochastic equations and intermittency. This theoretical research was further combined with economic and market analysis studies.

Roger Glenn Brown, Ph.D.
After serving for a decade at the CIA during the Cold War, Dr. Brown founded INSCAPE, a technology consulting enterprise designed to provide a wide range of services related to the design, acquisition, and installation of new technologies; and for some projects, to create, fund, and participate at the executive level in the management of new technology oriented entrepreneurial ventures. Dr. Brown has over 20 years experience in the emerging fields of systems analysis, business intelligence, business analytics, data warehousing, data mining, and knowledge management. Dr. Brown’s experience at the CIA has proved helpful in dealing with government officials at all levels. Dr. Brown is also the architect of patent pending (filed in 2001) technology originally developed as a web-based electronic exchange to facilitate transactions for unlisted securities between accredited investors.
