A Power Agro Agriculture Development Inc. to Begin Over-the-Counter Trading

GUANGZHOU, GUANGDONG, China--(BUSINESS WIRE)--Volcanic Gold, Inc. (Pinksheets:VOLG - News), today announced its entry into a definitive agreement to acquire all of the shares of capital stock of Capital Award, Inc., a Belize holding company with agriculture and aquaculture business holdings in the People's Republic of China, in exchange for shares of Volcanic Gold, Inc. capital stock. The combined company intends to provide comprehensive solutions across several agricultural and aquacultural areas including commercial fisheries, dairy farming, turf and specialized horticulture. In conjunction with the share exchange, Volcanic Gold, Inc. is conducting a reverse stock split of 1 share of the company's common stock for every 71 shares of common stock currently owned and will change its name to A Power Agro Agriculture Development, Inc. At the closing, Volcanic Gold, Inc. will issue to the sole shareholder of Capital Award, Inc. 32 million shares of its common stock, which will constitute approximately 80% of the issued and outstanding shares of common stock of the company after the stock split and the share exchange transaction. At the closing, the current officers and directors of Volcanic Gold, Inc. will resign and officers and directors of Capital Award, Inc. will be appointed to similar positions with Volcanic Gold, Inc., the post-acquisition parent company.
