When a company sets up a class of shares for the purpose of anti-takeover, those shares are left in the treasury. Then, when a hostile takeover offer is tendered, management pulls their shares out of the treasury and floods the market, effectively destroying an unfriendly offer.
That is categorically different that what management did with the issuance of those preferred shares.
