In case some gullible newbies do not know what that filing means:

A filing with the SEC that is labeled “REGDEX” represents a paper filing by the company. Since the filing was not in an electronic format, it is not presented on the company’s SEC web page.

Rule 504 of Regulation D provides an exemption from the registration requirements of the federal securities laws for some companies when they offer and sell up to $1,000,000 of their securities in any 12-month period.

Ouch, dam that is a rule 504 filing. Note the item (04) that's what it notates. Those are free trading shares.
