The puzzle here is, why are the partners planning to buy in open market. Why didn't PBLS management just make a private placement? And if they do, why would they want the PPS to rise. The lower the PPS the cheaper it is for them to get 800+ million shares. This is what does not make any sense to me.

They have committed to over the counter purchases of approximately two thirds of the amount they require, with the balance to come from Phoenix as certain acquisition are made, contracts are granted, and sales and profit projection are achieved that are attributable to their efforts."
