The entire share structure will change at the point of merger completion.. it HAS to.. we will get 5% + the value of the $1.9M of infused capital.. if he does a r/s now he risks having to do another one later in order to uplist.. there is no way he would risk having to do two r/s's..
He's not a stupid man.. I can tell by some of the moves he's made.. and I guarantee you he's being advised by some very smart people in the investment banking community... and what you are suggesting makes no sense whatsoever.
Doesn't sound like you been involved in two many public business deals before.. IPO's, spins, R/M's etc
Btw, please name just one fully reporting shell out there with a $2M receivable and $10M in carryforward losses (comparable) that is for sale.
