I can't agree with you at this time for lack of clarificatio,
as to need and reasoning for them.

AS PER PJs explanation to question posed on website " ask amergence" :

Some time ago, the Company issued preferred shares for its treasury but did NOT roll back those preferred shares. The preferred shares have NO conversion feature. That is, they cannot be converted to common shares. The preferred were issued to insure that an undervalued SunnComm could not be hostily taken over. The preferred shares may be voted if necessary, but can not be converted to common stock. The shares are what´s referred to as a "poison pill" and are designed for hostile situations. Again, it is not possible to use the preferred in order to issue additional shares.
