AMD Special shareholder meeting
A special shareholder meeting to approve amendments to Employee Stock participation plan or a new plan is highly irregular. Practically all properly managed companies handle such highly predictable issues at the Annual Shareholders Meeting . An oversight of the employee plan implies very gross mismanagement, and is unlikely for a 35+ year old company.
So most likely the shareholders are being summoned for another reason which will be disclosed later. Possible reasons:
A. Shareholders to elect new Directors. Hector and the other management team may be exiting, and replacements need shareholder approval. Or some directors may be resigning in protest against Hector, or just want to leave the "sinking ship."
B. Shareholders to a approve a new capitalization plan. AMD will most likely need to issue new stock, since the latest Bond proceeds will run out during the coming year.
C. Shareholder approval for selling all outstanding shares to a new entity, most lokely a Private Equity Fund.
