Clarification...

I erred - the "Initial Minimum" is not the same as the "Current Required Minimum." This post explains the "Initial Minimum" #msg-1806612.

The latter number is based on how many shares are required at any point in time if all of the convertibles were to be converted. As of early February, this becomes a rolling number based on the rolling conversion price lower of $0.45 or 85% of the average PPS for the previous 10 trading days. If the price drops, the "current required minimum" shares goes up.

If at any point the number "current required minimum" shares would cause the company to require more than the remaining authorized shares, a proxy would be sent to shareholders requesting authorization to increase the number of authorized shares. See #msg-1806472
