I was thinking more about what that part of the PR means, and I might be totally wrong. My initial impression was that BHUB shares would be issued to Techlab before the exchange, meaning additional dilution to TELA's share structure.

But the wording may mean that Techlab will have an interest in BHUB after the exchange.

In this scenario, first all BHUB shares are transferred to TELA so that BHUB has no common shares. Then BHUB common shares are issued to Techlabs so that an interest in BHUB becomes an asset of TELA with no additional dilution to TELA beyond that already described.

This makes more sense and is a better deal.
