OK Ren, here is my 2 cents about the preferred.
I have read comments about having to wait 5 years
for the preferred shares to be repurchased.
IMO, this is not true.

I called Mr Mulshine the very morning of that PR (proud to
be the first caller LOL). It is my understanding that the share redemption will occur at the company's convenience, as part of the plan to reduce the O/S, BUT NOT LATER than in 5 years.
Again IMO Phoenix is reducing the O/S (tradable) shares
in view of the a SEC filing and move to another board.
They promise to buy the preferred shares at 6 cents.
Let's say at the end of the year (being on the OTCBB) the shareprice is 12 cents or more.
Phoenix may well decide to redeem at that moment, after 8 months only !!
Compared with the today's share price, this is a WIN/WIN
situation.
I am sure the audits for 2003/4/5 are done.
I am sure the audit for 2006 is underway, showing a healthy profit. (And a LOT of cash in the bank...)
Any buyback of shares has to happen NOW.
Remember the buyback at 3 cents. The company must see this as dirt cheap, based on the figures known only by themselves.
The company even allows you to buy shares NOW and convert in
a couple of weeks. Don't forget that the share price might
skyrocket THANKS to the courageous shareholders who take on
the offer, thereby reducing the O/S!
This is as good as a cash dividend.
I might be wrong, and indeed we are on the "pinks", but the offer is real $$$
