That's part of the reverse merger agreement. Think about it.. why would the new company want the Chinese guys to have a stake in their company?

The notes in the last financials said that they want to reverse the Chinese merger with Gerpang. So it might lead to cancellation of 200m plus shares as well. The new company does not want anything to do with the Chinese or their assets.
