They come back with questions after an S-1 is submitted and depending on the complexity can take a couple months to resolve. They more than likely are in that period right now.

My company is going through this process now, from S1 submission to final comments approvals took 7 months

If a company doesn't go the SEC route then FINRA needs to approve the merger....
