The SEC is a civil regulatory agency. It would be the DOJ who investigates and brings charges.

But Sharp already has problems with the District Attorney in Clark County, Nevada for filing a false governmental record. That is now a slam dunk case. There never was a reverse merger or asset presently pending as we now know.
