The company can't issue new stock by filing a Form 10. That would require a Registration Statement such as a S-1 etc.
The Form 10 is supposed to be effective after 60 days. If it isn't deemed effective after 60 days then there is a problem.
When filing a S-1 the company must pass comments - on a Form 10 the SEC comments can still be asked after it is effective. So look at the date it was filed and add 60 days and you will know there is a problem.
