As for why no 8K you'll have to ask the company why none was filed. Their email is [e-mail]. They've even put a comment on their website saying

"You already may have noticed a change in our responsiveness with investors via the Company's account ([e-mail]) over the past several months."

So that should be a sign you'll get a quick response to your inquiry.

As for non-public trading - hmmmmm - considering that almost every day since 1Dec23 the short volume has been over 50% I'd suggest asking your buddies since they created the majority of the volume.
