The Company recently learned that Alfasigma (as defined below) is considering terminating
further work under the License Agreement (as defined below) with the Company (see Note 8 for further information about the License Agreement). If
Alfasigma were to terminate the License Agreement or cease further work under the License Agreement, the Company could be required to impair some or all
of the patent assets associated with Brilacidin.
