Not a lawyer.

From my experience, a regulation is the government agency's written interpretation of the law. The law should always supersede regulations (exception: Chevron).

BTW, I wouldn't give any credence to self-proclaimed lawyers who have in the past, quoted from SPSPA and told us it was the law. Beware of government agents masquerading as shareholders.
