Unfortunately just about all OTC companies have convertible debt and usually much more than $1 mil. Still it's an issue the company has to deal with...and shareholders. Doesn't make a company a scam but it's the reason most pinks fail. In addition to share structure all these issues are things Blagman should address in a discussion with shareholders.
