Welp, the reason Cutler never filed anything with the SEC is because he and Lanham couldn't figure out how to unwind it at the State Level!!

The fact is they knew about the share issue that George figured out and discussed with the SEC. Which is also why Lamham was forced by the court to give George the books. Lamham was in contempt of court during George's custodianship for crying out loud!! Or did you forget about that too?

George withdrew the Form 10 so he could go the Alt route and work out the share issues in the courts first. BINGO!

Plain and simple, Lamham/Cutler argued to exhaustion that the pre-form 15 filings were the issue, when in fact that wasn't case. Did they make that up?! Huh?! They wouldn't dare!!

Ask yourself, what self respecting CEO, or pubco council would expect to get a merger through with FINRA or the SEC without making one damn 8K to the Edgar system!?

I mean pleeeaase....
