Sharp is no longer custodian, he is now CEO.

If Calasse winning the appeal makes him the majority shareholder (or gives him voting control), then that means that Sharp lacked authority for everything he did. Which is part of the issue, as Sharp ignored the voting rights of the preferred shares when he issued himself shares. Any share issuance required approval from the preferred shares, which never happened.

But I assume that even if Calasse wins the appeal (and the 5M preferred shares), Sharp will claim he still has voting control due to the original 300k preferred shares he issued himself. Again, there are issues as everything was done sloppily, but that was why he claimed to have voting control originally.

So... even if Calasse wins the appeal, Sharp will remain CEO. Unless Calasse then contests the preferred shares Sharp issued himself, without approval from the preferred shares or a majority of the common shares.

This is another reason why it makes sense for them to settle, IMO. If they decide to go scorched earth, there's a lot of issues to contest. Settling resolves all of them, avoiding the hilarious possibility of Sharp having his own shares canceled for being fraudulently issued.
