I may be wrong, but I don't think they are spinning it off to shareholders of ILUS.
If I understand their M.O., they like to hold 51% of these subsidiaries, not spin off/spin out the whole subsidiary. So I think they will sell 49% of the company to the public, with ILUS retaining the balance. This will bring cash into ILUS, and indirectly help s/h via an increase in ILUS value.
