The first sentence could cause the stock price to drift lower because of the bolded regarding spin-off date…

SEATTLE, Jan. 17, 2023 (GLOBE NEWSWIRE) -- Pervasip Corp. (OTCPK: PVSP) (“Pervasip” and the “Company”) today announced that it will spin-off 100% of its wholly-owned subsidiary, Artizen Corporation (“Artizen”), as a separate public company, with an anticipated record date between July 1, 2023, and September 30, 2023. As a result of the spin-off, all Pervasip shareholders of record as of the designated record date shall receive shares in the newly public Artizen in proportion to their ownership in Pervasip. Artizen conducts 100% of Pervasip’s cannabis business segment operations through its Zen Asset Management LLC subsidiary ("Zen”).

Some may choose to sell now anticipating more conversions and hoping to buy lower just before the record date…

Anticipated record dates are between July and September. You must own shares in PVSP during the record date to receive the new Artizen shares.

The completion of the audits (approximately 1 month from now) and then the Form 10 approval from the SEC will dictate the actual shareholder record date.

The range above was stated by management in January, so we will see if anything has changed when they release their corporate update this week.

Do the math. Common shareholders will be getting 15% of 100 million or 15 million shares, so let’s say there are 5 billion common shares…

15,000,000 divided by 5 billion (my arbitrary number) equals .003, so by my math you’re getting 3000 shares of Artizen for every million shares of Pervasip…

Again, my math is based on 5 billion shares of common stock outstanding of Pervasip, it’s an approximate number and I will recheck what the real number is but I think I’m not far off…
