The foregoing actions were approved on February 13, 2023, by the Company’s Board of Directors. In addition, on February 15, 2023, the holders of approximately 52.7% of the Company’s outstanding voting securities (the “Consenting Shareholders”) approved the foregoing action. The number of shares voting for the increase in authorized common stock was sufficient for approval.
