You are incorrect. The only issue is whether those shares were legally issued or not. An attorney would have to write an opinion letter based on filings of the company and issuing docs proving they met all conditions and the Restrictive Legend shoved be removed. Without that removal, that stock is worthless. There is no other conflict, either they're valid or not, let the Judge decide.
