THIS RESCISSION OF THE REVERSE SPLIT (the “REVERSE SPLIT”) is made and entered into as company
record and the current management herein asthe “parties” collectively or a “party” individually this OCTOBER
26 2022 .
RECITALS
WHEREAS MNGG ex-management announced reverse split dated July 6, 2018 (the “REVERSE
SPLIT”), pursuant to which MNGG reverse split of 1:40,000
WHEREAS, the parties now desire to unwind and rescind the action referenced inthe above
recital (the “REVERSE SPLIT”)
WHEREAS, to accomplish the unwinding of the REVERSE SPLIT, MNGG new management
desires cancel any announcement of such action.
WHEREAS, to accomplish the unwinding of the name change to Fuya Holdings Inc, MNGG
new management desires cancel any announcement of such action.
NOW, THEREFORE, the parties hereby agree as follows:
RESCISSION OF REVERSE SPLIT and NAME CHANGE
On the terms and subject to the conditions of this REVERSE SPLIT, Ex and Current management
of MNGG each agrees to rescind the Reverse split and rescinds the Mining Global Name change
Thew name of the corporation shall remain as Mining Global Inc OTC:MNGG
