#251116 RE: rayovac812 #251107

just for the record, i dont think kim needed shareholder approval to do an offering or to uplist...im not all that sure he even needed shareholder approval for the reverse split...what he DID need approval for was a change or ammendment to the articles of incorporation to allow him to do a reverse split...

kim knew he had many more votes than he needed to do what he wanted to do, so he put the r/s offering and uplist to a vote at the sh meeting...

i think he just wanted to make everyone feel like they actually had a say (which they really didnt) and also to mitigate any fallout should things end disastrously afterwards...he can say, "hey i put it to a vote and shareholders overwhelmingly approved it"...

and also for the record, as i stated a hundred times from the day he announced that ridiculous offering, uplist and r/s, it would ABSOLUTELY have ended disastrously...

as far as i can see, kim will not need anyone's approval to simply impliment the whole plan whenever he sees fit to do so...
