It is mentioned in section 7d of the securities purchasing agreement in 8K. Can't do RS for 2 years or 24 months unless it is for uplisting to NASDAQ reasons. it is rare to capture this clause explicitly in purchasing agreement. THis is a huge one and protects current shareholders. This is going to explode next week with this no RS confirmed thru 8K!
