It would seem to me that the language for a similar offering that I have seen on another ticker would be much better for both the company and the shareholders here. One that lets the market determine price rather than the company setting a fixed price well below market at the time of filing. The one outlined below is for $5 million and a period of 36 months.
“Market Price” shall mean the lowest traded price of the Company’s Common Stock during the Pricing Period.
“Pricing Period” shall mean fifteen (15) consecutive Trading Days preceding the receipt of the applicable Put Notice.
“Purchase Price” shall mean eighty eight percent (88%) of the Market Price."
