I think this 2nd proxy is just for the lawyers anyway, CYA for the boys as what is going to happen is going to happen. They diluted this thing to the point of being unmanageable for a specific reason. I believe it has been expressed by management in the past that being publicly traded was not something they thought was a great idea.
