From my experience (I'm happy to provide you knowledge I've gained since you're new to this), when a merger happens with a low O/S like that, it means dilution is inevitable. I've seen merging companies drop 100+B shares on fantastic share structures quickly after the merge in order to desperately raise money.
The share structure, whether you want to believe it or not, is better here. A more confident, established, capable company will take the shell.
