I don't think you understand what you are talking about. There is no registration statement filed. There is no IPO. This is a Public not a Private company so current information that is material to the stock like a definative merger agreement, must be filed in an 8K.

From the SEC Website:
"Form 8-K

In addition to filing annual reports on Form 10-K and quarterly reports on Form 10-Q, public companies must report material corporate events on a more current basis. Form 8-K is the “current report” companies must file with the SEC to announce major events that shareholders should know about."


All we have here is a non binding letter of intent. Which pretty much means we are going to talk to each other and see if we hit it off. Think of it as talking to a perspective date on the phone before ever going out.

Now UVCL stated that a definative agreement would happen by the end of November and the merger would be complete by Jan.

Here is is February and nothing. We don't know if they hit it off on the phone because they never made it off the phone to have the first date.

I've never stated that the merger won't happen because I'm not privy to any inside info. I've pointed out UVCL's past 2 LOI's that amounted to nothing.

Mainly I've refuted your ascertion that there is some type of mandated "QUIET PERIOD". I'm sorry but that is utter nonsense and baseless. I've been through even Reverse Mergers to know there wasn't a quiet period involved and I've seen this same bogus claim thrown out in the past when a company doesn't perform and doesn't communicate.

Instead of pumping blindly, point fingers at anyone who does do their DD and doesn't agree with you, Look at other Reverse Mergers and how they were handled. Don't assume that because the companies don't want to talk about it that a deal is eminent.

I object to your chastising me and others well stating what you have are facts. What you have are opinions and assumptions.

Everyone should do their own DD and never BUY SELL or HOLD because of anyone else's opinion.
