They have zero debt, but they do have a very large liability on the books -- due to a legal settlement. Walks like a debt, quacks like a debt, but not called a debt.

I would be surprised if Bland actually sold the shell. However, sometimes it appears he has sold and the deal gets rescinded.

But let's say that the shell HAS been sold. What would a shell with a big litigation settlement against it be worth?
