If an entity makes any kind of formal offer, conditional or not, the company is required to announce it and one of the conditions could be to wheel & deal through m&a firms, which greatly limits how much interaction would be necessary with existing company management. I assure you there have been hundreds of pubco deals done when the acquired company CEO/board was limited in dealings/negotiations, or completely blocked, by the majority shareholders.
