HYSR... anyone can value the condition of OIL and GAS as far as supplies go! The last time I looked a few years ago, there were more OIL drilling facilities whose Oil drained out than those that were starting up! Forgot the source, but by 2250-60, Oil will have run DRY was their estimate! In any case, oil supplies are getting lower fast! Though I don't care about predictions as they always fall short, so I just look around me and see how many products and Vehicles/Machinery use the stuff, and feel that we are robbing Santa's bag of gifts without even thinking about it? Just look at 2122 Oil reserves and you will see Oil's status at this time!

NOTICE OF ACTION BY WRITTEN CONSENT OF STOCKHOLDERS



NOTICE IS HEREBY GIVEN that the holder of a majority of the voting power of the stockholders of SunHydrogen, Inc., a Nevada corporation (the “Company” “we,” “us,” or “our”), have approved the following action without a meeting of stockholders in accordance with Section 78.320 of the Nevada Revised Statutes:



1. An amendment to our articles of incorporation to increase our authorized shares of common stock from 5,000,000,000 to 10,000,000,000.


2. An amendment to our articles of incorporation to effect a reverse stock split of our common stock by a ratio of not less than 1-for-100 and not more than 1-for-500 at any time prior to the one year anniversary of filing the definitive information statement with respect to the reverse split, with the Board of Directors having the discretion as to whether or not the reverse split is to be effected, and with the exact ratio of any reverse split to be set at a whole number within the above range as determined by the Board in its discretion.


3. The adoption of the SunHydrogen. Inc. 2022 Equity Incentive Plan.


The action will become effective on the 20th day after the definitive information statement is mailed to our stockholders.
